These Terms & Conditions (“Terms”) govern your access to and use of the Dreibelbis Auctions website, platforms, services, auctions, and related offerings (collectively, the “Services”). By accessing our website, registering for an auction, bidding, selling, or otherwise engaging with Dreibelbis Auctions LLC (“Dreibelbis Auctions,” “we,” “us,” or “our”), you agree to be legally bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services.

1. ELIGIBILITY & ACCOUNT REGISTRATION

To participate in any auction or use certain Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter binding contracts
• Provide accurate, current, and complete information during registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.

Dreibelbis Auctions reserves the right to refuse registration, suspend, or terminate any account at its sole discretion.

2. AUCTION FORMAT & GENERAL CONDITIONS

All auctions conducted by Dreibelbis Auctions may include, but are not limited to:

• Live on-site auctions
• Online-only auctions
• Simulcast (live + online) auctions
• Timed internet auctions

Each auction is governed by auction-specific terms, which may include buyer’s premiums, deposits, reserve prices, payment deadlines, closing terms, and removal requirements. These terms will be announced prior to or at the time of auction and are incorporated into these Terms by reference.

3. BIDDING & BUYER OBLIGATIONS

By placing a bid, you acknowledge and agree that:

• All bids are legally binding offers to purchase
• The highest accepted bid constitutes a binding contract
• You are financially capable of completing the transaction

Winning bidders must comply with all payment, closing, and removal terms stated for the auction.

Failure to complete a purchase may result in:

• Forfeiture of deposits
• Legal action
• Account suspension or permanent ban
• Liability for damages, resale costs, or deficiencies

4. BUYER’S PREMIUM, TAXES & FEES

Unless otherwise stated:

• A buyer’s premium may be added to the high bid
• Applicable sales tax, transfer tax, or fees may apply
• Buyers are responsible for all taxes, title fees, closing costs, and regulatory charges

All amounts due must be paid in full within the timeframe specified for each auction.

5. PAYMENT METHODS

Accepted payment methods may include:

• Cash
• Certified funds
• Wire transfer
• Credit or debit cards
• Other methods as specified in auction terms

Credit card usage may be subject to processing fees. All payments must be made in U.S. dollars unless otherwise stated.

6. SELLER REPRESENTATIONS & AUTHORITY

Sellers represent and warrant that:

• They have full legal authority to sell the property or assets
• Assets are free of undisclosed liens or encumbrances (unless disclosed)
• All information provided to Dreibelbis Auctions is accurate to the best of their knowledge

Dreibelbis Auctions acts as an agent for the seller, not as the owner of the property unless expressly stated.

7. AS-IS, WHERE-IS CONDITION

All property and assets are sold AS IS, WHERE IS, with all faults and without warranty of any kind, express or implied.

Dreibelbis Auctions makes no guarantees regarding:

• Condition
• Merchantability
• Fitness for a particular purpose
• Accuracy of descriptions

Buyers are encouraged to conduct independent inspections and due diligence prior to bidding.

8. INSPECTIONS & DUE DILIGENCE

Inspection opportunities may be provided prior to auction. It is the buyer’s sole responsibility to:

• Inspect assets
• Review reports, disclosures, and documentation
• Seek professional advice (legal, financial, environmental, or otherwise)

Failure to inspect does not relieve buyers of their obligations.

9. TECHNOLOGY, ONLINE BIDDING & INTERRUPTIONS

Dreibelbis Auctions utilizes technology platforms for online and simulcast bidding. While reasonable efforts are made to ensure system reliability, we are not responsible for:

• Internet outages
• Platform delays
• Bid transmission failures
• User hardware or connectivity issues

Dreibelbis Auctions reserves the right to extend, pause, or reschedule auctions if technical issues arise.

10. DISCLAIMERS & LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• Dreibelbis Auctions is not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount of fees paid directly to us
• We do not guarantee auction outcomes, sale prices, or market performance

Participation in auctions is at your own risk.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Dreibelbis Auctions, its officers, employees, agents, and affiliates from any claims, losses, damages, liabilities, or expenses arising from:

• Your use of the Services
• Your breach of these Terms
• Your bidding, selling, or purchasing activities

12. INTELLECTUAL PROPERTY

All website content, trademarks, logos, images, videos, catalogs, and materials are the property of Dreibelbis Auctions or its licensors and may not be used, reproduced, or distributed without prior written consent.

13. PRIVACY & DATA PROTECTION

Your use of our Services is subject to our Privacy Policy, which explains how we collect, use, and protect personal data. By using our Services, you consent to such practices.

14. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in state or federal courts located in Pennsylvania.

15. MODIFICATIONS TO TERMS

Dreibelbis Auctions reserves the right to modify these Terms at any time. Updated Terms will be posted on our website and become effective immediately upon posting.

Continued use of the Services constitutes acceptance of the revised Terms.
